This Terms of Service ("TOS") is a legally binding agreement between you and NovBee Limited ("NovBee," "we," or "us"), the provider of audio stem extraction services. By accessing and using our services, you agree to comply with and be bound by the following terms and conditions. Please read the TOS carefully.

Use of the Service
By using our audio stem extraction services, you represent and warrant that you have the legal capacity to enter into a contract and that you are not prohibited by any applicable laws or regulations from using the service. You also agree to use the service in compliance with all applicable laws and regulations. Copyright Disclaimer
You are solely responsible for the audio files you upload and the resulting audio files obtained through our service. Our service utilizes neural network technology to separate audio files into vocal and instrumental tracks. We do not store or distribute any copyrighted content.
International Use
As the Internet is a global platform, you agree to abide by all applicable local, state, national, and international laws and regulations regarding your use of the service, including acceptable content and online conduct.
Modifications to the Service
NovBee Limited reserves the right to modify or discontinue the service (or any part thereof) temporarily or permanently, with or without notice. You agree that NovBee Limited shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.
Indemnification
You agree to indemnify and hold NovBee Limited, its affiliates, officers, directors, shareholders, agents, attorneys, employees, partners, licensors, and other representatives harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your submitted content, use or access of the service, connection to the service, violation of the TOS, violation of any rights of another party, or any taxes arising from your purchase or use of the service in any jurisdiction.
Disclaimer of Warranties
You expressly understand and agree that your use of the service is at your sole risk. The service is provided on an "as is" and "as available" basis. NovBee Limited and its affiliates, officers, directors, shareholders, employees, agents, attorneys, partners, licensors, and other representatives expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NovBee Limited and its affiliates, officers, directors, shareholders, employees, agents, attorneys, partners, licensors, and other representatives make no warranty that: (i) the service will meet your requirements; (ii) the service will be uninterrupted, timely, secure, or error-free; (iii) the results obtained from the service will be accurate or reliable; (iv) the quality of any products, services, information, or other material purchased or obtained through the service will meet your expectations; and (v) any errors in the software will be corrected. Any material downloaded or obtained through the use of the service is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by you from NovBee Limited or through the service shall create any warranty not expressly stated in the TOS.
Limitation of Liability
You expressly understand and agree that NovBee Limited and its affiliates, officers, directors, shareholders, employees, agents, attorneys, partners, licensors, and other representatives shall not be liablefor any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if NovBee Limited has been advised of the possibility of such damages), resulting from: (i) the use or inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.
Termination
NovBee Limited may, in its sole discretion, at any time and for any reason, terminate or suspend your access to the service, without prior notice or liability. Upon termination or suspension, your right to use the service will immediately cease, and NovBee Limited may immediately deactivate or delete your user account and all related information and files associated with it. All provisions of the TOS which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which NovBee Limited operates, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within that jurisdiction for the purpose of litigating any disputes arising out of or relating to this agreement.
Entire Agreement
The TOS constitutes the entire agreement between you and NovBee Limited and governs your use of the service, superseding any prior agreements between you and NovBee Limited with respect to the service. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other NovBee Limited services or third-party services.
Assignment
You may not assign or transfer your rights or obligations under the TOS without the prior written consent of NovBee Limited, and any attempted assignment or transfer without such consent shall be null and void.
